Developer Distribution Agreement

This Developer Distribution Agreement ("Agreement") forms a legally binding contract between you (the "Developer") and Tri Phung trading as WorldWideView ("we," "us," or "our"). It governs your publication and distribution of plugins through the WorldWideView Marketplace (marketplace.worldwideview.dev).

1. Developer Eligibility

To distribute plugins on the Marketplace, you must be at least 18 years old and maintain a valid WorldWideView account.

2. Plugin Submission and Review

All submitted plugins must:

  • Conform to the WorldPlugin interface defined in the @worldwideview/wwv-plugin-sdk.
  • Pass automated validation via validateManifest().
  • Include accurate metadata (name, description, version, and author).

We reserve the right to review, reject, or delist any plugin from the Marketplace at any time, for any reason, without prior notice.

3. Intellectual Property

  • Your Rights: You retain all ownership rights to your plugin code, design, and any original data you provide.
  • License Grant: By submitting a plugin, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, distribute, display, and perform your plugin through the Marketplace and within the WorldWideView application.
  • Third-Party Rights: You warrant that you have the necessary rights, licenses, and permissions for all code, data sources, APIs, and GeoJSON files included in or accessed by your plugin.

4. Prohibited Content and Behaviors

You agree NOT to publish plugins that contain or facilitate:

  • Malware, spyware, ransomware, or cryptocurrency miners.
  • Code designed to exfiltrate user data, bypass security headers, or circumvent Content Security Policies (CSP).
  • Plagiarized code, trademark-infringing content, or unlicensed proprietary data.
  • Malicious payloads designed to crash or degrade the performance of the WorldWideView rendering engine.

5. Plugin Trust and Verification

Plugins are distributed as either "Verified" (audited by our team and listed in trustedPlugins.ts) or "Unverified." Unverified plugins trigger a warning dialog for end-users. Verification status is granted at our sole discretion.

6. Revenue Sharing and Payouts (Paid Plugins)

If you choose to distribute a paid plugin, the following terms apply:

  • Revenue Split: You will receive 85% of the gross revenue generated by your plugin. WorldWideView retains 15% to cover payment processing (e.g., Stripe fees), hosting, and administrative costs.
  • Payout Schedule: Payments are issued on a Monthly, Net 30 basis (e.g., earnings accrued in January are paid by the end of February).
  • Minimum Threshold: Payouts are subject to a $25 USD minimum threshold. Balances below this amount will roll over to the next month.
  • Taxes: You are solely responsible for all income tax, GST/VAT, and other taxes arising from your earnings. We may issue 1099 or equivalent tax forms where legally required.

7. Indemnification

You agree to indemnify, defend, and hold harmless WorldWideView, its officers, directors, and employees from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  • Your plugin infringing on any third-party intellectual property rights.
  • Your plugin causing data breaches or unauthorized access.
  • Inaccurate, misleading, or harmful geospatial data provided by your plugin.
  • Your violation of any term in this Agreement.

8. Limitation of Liability

WE PROVIDE THE MARKETPLACE "AS IS." WE DO NOT GUARANTEE THAT THE MARKETPLACE WILL ALWAYS BE AVAILABLE, SECURE, OR FREE FROM ERRORS. WE ARE NOT LIABLE FOR ANY LOST PROFITS, LOST REVENUES, OR LOSS OF DATA ARISING FROM YOUR USE OF THE MARKETPLACE OR THE DISTRIBUTION OF YOUR PLUGIN.

9. Termination

Either party may terminate this Agreement with 30 days' written notice. We may terminate this Agreement and immediately remove your plugins if you violate our Prohibited Content guidelines or any other term. Upon termination, you must provide a reasonable migration or wind-down path for existing users of your plugin.

10. Governing Law

This Agreement is governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
